Duncan is a corporate partner who advises listed and unlisted UK and international companies, private equity sponsors and financial institutions on a wide variety of transactional matters (including M&A, joint ventures, fundraisings and corporate reorganisations) as well as on corporate governance and other commercial law aspects.

He has acted for numerous FTSE listed corporates, often on transactions with an international element including in Europe (particularly Spain), the United States and India.

Duncan's experience covers a range of sectors including services and facilities management, defence and aerospace, food and drink, media and publishing and real estate.

M&A and takeovers

Duncan has acted on a wide variety of private company share or asset acquisitions and disposals (often with a cross-border element) as well as various public company takeover bids. He has also advised on a number of complex joint ventures, including at the end of 2008, between Severfield Rowen plc and JSW Steel of India.

Private equity and venture capital

Duncan has primarily advised private equity sponsors on a range of matters from major cross-border leveraged buy-outs to early stage or follow-on investments (particularly in the technology sector). Most recently this has encompassed advising on the European aspects of a $1.1 billion buy-out by a major US private equity fund of a leading worldwide provider of specialised test and measurement equipment and microelectronic solutions.

Company advice

Duncan advises public and private companies on general company law issues, including corporate governance and corporate reorganisations.

He has also advised on a wide range of commercial contract issues.

IPOs and capital markets

Duncan has acted on a number of secondary equity fundraisings for listed clients across a range of sectors. He also has experience of AIM listings.
